This is common as it means cellphone companies can sell phones really cheap - eg $19.99 - but that phone actually costs them several hundred dollars to buy from the manufacturer. So they lock them to make sure they get the money from you using it on their network to help pay them back for the real cost of the phone.

Yes it does matter, unlocked phone means that you can only use the phone with a specific GSM phone company, and if it is unlocked you can use it with all of the GSM phone companys like for example: "T-mobile, Cingular, At%26amp;t, Verizon and more".
